Why boards are being asked to evidence digital & AI governance — not just assert it

Boards across the UK and Europe are increasingly confident that their organisations intend to govern digital and AI systems responsibly. Far fewer are confident they could evidence that governance clearly, quickly, and defensibly if asked by a regulator, auditor, insurer, or procurement counterparty.

1. The shift boards are quietly experiencing

Governance discussions around technology and AI have historically followed a familiar pattern:

  • Policies are approved
  • Frameworks are adopted

For a long time, this was sufficient. What has changed is who is asking questions and how specific those questions have become.

Boards are now encountering requests such as:

  • “Please evidence how this system is governed in practice.”

These questions are no longer hypothetical. They appear in procurement processes, regulatory enquiries, internal audit reviews, insurance and risk assessments, and grant/funding due diligence — often with short response windows.

2. The evidence gap most organisations don’t see coming

When boards are asked to evidence governance, many discover that information exists — but it is:

  • Scattered across teams
  • Held in informal formats
  • Not version-controlled
  • Not time-stamped
  • Not easily attributable to board oversight

Common responses include:

  • “We’d need to pull that together.”
  • “It exists, but not centrally.”
  • “We rely on management assurance.”
  • “We haven’t documented that at system level.”

None of these are unusual — but increasingly, none are sufficient. The issue is not necessarily governance failure. It is evidence fragility.

3. Why AI and digital systems amplify the risk

AI systems, automated decision tools, and complex digital platforms introduce characteristics that traditional governance structures struggle to evidence clearly:

  • Continuous change and iteration
  • Delegated decision-making
  • Third-party dependencies
  • Blurred accountability lines
  • Controls that boards do not own directly

As a result, boards may be confident in their oversight — yet unable to demonstrate it in a way that stands up to external scrutiny.

This creates a new class of risk: exposure arising from an inability to evidence governance, rather than a failure of governance itself.

4. The new question boards are being judged on

Scrutiny is shifting from:

“Do you have appropriate governance frameworks?”

to:

“Can you evidence how governance operates in practice, at system level, today?”

This is a materially higher bar. It requires moving beyond static documents toward living, auditable governance evidence.

5. What proportionate, board-level evidence looks like

This does not require heavy compliance programmes or bureaucracy. Proportionate governance evidence typically demonstrates:

  • Clear system ownership and accountability
  • Explicit purpose and use boundaries
  • Documented controls and safeguards
  • Board visibility and defined oversight points
  • Time-stamped records of decisions and changes

The emphasis is not perfection — it is defensibility.

6. Why this matters now (not later)

Several forces are converging:

  • Increased regulatory attention on AI and digital risk
  • Heightened procurement scrutiny
  • Greater personal accountability for board members
  • Reduced tolerance for “trust us” governance responses

Boards that address governance evidence before it is requested retain control of the narrative. Boards that wait are often forced into reactive reconstruction under pressure — with incomplete records.

7. A quiet question for boards to consider

If your organisation were asked tomorrow: “Please evidence how this digital or AI system is governed in practice.”

  • How confident would you be in the response?
  • How quickly could it be produced?
  • Would it rely on assurance — or evidence?
